The $23 a share acquisition is subject to customary closing conditions, which include receipt of Mandiant stockholder and regulatory approvals.

Google LLC announced that it has signed an agreement to acquire dynamic cyber defence and response company, Mandiant, Inc for $23.00 per share. The all-cash transaction is valued at approximately $5.4 billion and includes Mandiant’s net cash. Post the acquisition, Mandiant will join Google Cloud.

After the addition of Mandiant, Google Cloud will enhance its current offerings that help businesses target malicious content, software vulnerabilities and cyber threats. With the acquisition, Google aims at delivering end-to-end security operations.

“We look forward to welcoming Mandiant to Google Cloud to further enhance our security operations suite and advisory services, and help customers address their most important security challenges,” said Thomas Kurian, CEO, Google Cloud.
